1. Acceptance of these Terms
These Terms of Service (“Terms”) govern your access to and use of FrenchPal.ai and related FrenchPal websites, applications, learning tools, account features, paid services, and other services made available by Cloudvale LLC (“FrenchPal,” “we,” “us,” or “our”). Cloudvale LLC is registered in the State of Wyoming, United States.
By accessing or using FrenchPal, creating an account, or purchasing a paid plan, you agree to these Terms. If you do not agree, you should not use the Services.
These Terms should be read together with our Privacy Policy and Refund Policy, as applicable.
2. About FrenchPal
FrenchPal is an AI-powered language-learning and conversation-practice service. Depending on the plan, device, location, and version of the Services, FrenchPal may provide AI conversations, speaking practice, pronunciation feedback, grammar and vocabulary guidance, role-play scenarios, learning feedback, language assessments, certificates, and related tools.
Features, usage limits, supported languages, AI models, interfaces, and learning tools may vary over time or by plan, country, device, or service version.
3. Eligibility
You may use FrenchPal only if you have the legal capacity to enter into a binding agreement in your jurisdiction. If you are a minor, you may use the Services only with the permission and supervision required by applicable law.
Additional requirements may apply to accounts provided through schools, employers, or other organizations.
4. Accounts
You are responsible for providing reasonably accurate account information and for maintaining the confidentiality of your login credentials. You are also responsible for activity occurring through your account unless the activity results from circumstances for which you are not legally responsible.
You may not sell, rent, transfer, or improperly share an account, create accounts through unauthorized automated means, or use multiple accounts to evade legitimate usage, payment, or security limits.
If you believe your account has been accessed without authorization, contact [email protected].
5. Free services
FrenchPal may provide free access, free trials, limited usage, promotional access, or other no-cost features. Free features, usage allowances, and availability may change over time.
Unless required by law, free access does not guarantee that a particular feature, usage limit, or promotional benefit will remain available permanently.
6. Paid plans and pricing
FrenchPal may offer monthly, annual, lifetime, one-time, or other paid plans from time to time. The price, billing period, included features, currency, and other material purchase terms are displayed before you complete a purchase.
Prices may vary by country, currency, promotion, plan, tax treatment, or other lawful factors. Applicable taxes may be collected where required by law.
Unless otherwise stated, access to paid features begins after successful payment or confirmation from the applicable payment provider.
7. Subscriptions and automatic renewal
If you purchase a subscription identified as automatically renewing, recurring, monthly, annual, or similar, the subscription will renew for the billing period shown at checkout until you cancel it or it is otherwise terminated.
At renewal, the applicable payment method may be charged the subscription price and applicable taxes. We will provide disclosures, reminders, price-change notices, or other notices where required by applicable law.
If a recurring subscription price materially changes, we will provide notice in advance where required by law.
8. Cancellation
You may cancel an automatically renewing subscription before the next renewal date using the cancellation method made available for your subscription or by contacting support where appropriate.
Cancellation prevents future renewal charges. Unless otherwise stated or required by law, you may continue to use the paid features included in your plan until the end of the period already paid for.
Cancellation of a subscription does not automatically result in a refund of amounts already paid. Refund eligibility is addressed separately below and in our Refund Policy.
9. Refunds
FrenchPal offers a standard refund policy for eligible initial purchases and automatic renewals.
A purchase or automatic renewal is generally eligible for a refund under our standard policy when the refund request is submitted within 24 hours of the applicable charge and the paid service has been used for no more than five conversations during the relevant paid period.
Requests that do not meet these conditions are generally not eligible for a refund under our standard refund policy. The detailed eligibility rules and request process are described in the FrenchPal Refund Policy.
This standard refund policy does not limit any mandatory cancellation, withdrawal, refund, or other consumer rights available to you under applicable law.
10. AI-generated content and learning feedback
FrenchPal uses artificial intelligence to provide conversations, corrections, examples, explanations, pronunciation feedback, role-play content, vocabulary suggestions, and other learning experiences.
AI-generated responses may occasionally be incomplete, inaccurate, unsuitable, or inconsistent. FrenchPal is designed as a language-learning tool, and you should use reasonable judgment when relying on AI-generated information.
FrenchPal is not intended to provide medical, legal, financial, immigration, or other professional advice. A learning scenario involving a professional topic is for language practice and should not be treated as professional guidance.
11. Voice and speech features
If you use microphone, speech-recognition, pronunciation, transcription, or related voice features, you authorize FrenchPal to process the voice input and related information as reasonably necessary to provide those features.
Information about how personal information, including voice-related information, is handled is described in our Privacy Policy.
12. Assessments, levels, and certificates
FrenchPal may provide AI-generated language assessments, learning levels, scores, reports, and certificates as part of the learning service.
Unless expressly stated otherwise, a FrenchPal certificate is not a government-issued qualification, university degree, immigration credential, or official standardized language examination result.
Acceptance of a FrenchPal certificate or assessment by an employer, school, government agency, immigration authority, professional body, or other third party is determined solely by that third party.
13. User content
You may submit text, speech, audio, prompts, responses, learning content, or other material when using FrenchPal (“User Content”). You retain the rights you lawfully hold in your User Content.
You grant FrenchPal a limited, non-exclusive license to host, process, transmit, reproduce, and otherwise use User Content only as reasonably necessary to provide, operate, secure, improve, and support the Services in accordance with these Terms and our Privacy Policy.
You are responsible for ensuring that your User Content and use of the Services do not violate applicable law or the rights of others.
14. Acceptable use
You agree not to misuse FrenchPal. Prohibited conduct includes:
- using the Services for unlawful, fraudulent, deceptive, abusive, or harmful activity;
- infringing intellectual-property, privacy, publicity, or other rights;
- attempting to gain unauthorized access to systems, accounts, data, or security controls;
- introducing malware, malicious code, attacks, excessive automated traffic, or other disruptive activity;
- using scripts, bots, or other methods to bypass plan limits, usage restrictions, payment controls, or security measures;
- reselling, sublicensing, or commercially redistributing access to FrenchPal without authorization; or
- reverse engineering or extracting protected technical components except to the extent such restrictions are prohibited by applicable law.
15. Intellectual property
FrenchPal and its licensors own the Services and associated software, interfaces, designs, trademarks, branding, original content, technology, and other intellectual property, except for User Content and third-party materials.
Subject to these Terms, FrenchPal grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.
16. Third-party services
FrenchPal may rely on third-party providers for payment processing, hosting, cloud infrastructure, AI functions, speech recognition, text-to-speech, analytics, communications, security, customer support, and other technology.
Third-party products or websites may be governed by their own terms and privacy policies. FrenchPal is not responsible for independent third-party services outside our control, except where applicable law provides otherwise.
17. Business and education accounts
If your account is provided, paid for, or managed by a school, employer, business, or other organization, additional terms or agreements between FrenchPal and that organization may apply.
The organization may administer account access, seats, entitlements, or certain service settings. Information about organizational access to personal information is addressed in the applicable agreement, notice, and Privacy Policy.
18. Service availability and changes
We may update, improve, replace, or modify features, AI models, interfaces, supported languages, technical components, usage limits, and other parts of the Services.
We may also perform maintenance or experience outages, technical failures, or third-party service disruptions. We do not guarantee uninterrupted availability.
Where a change materially affects a paid service, we will provide notice, continued access, a remedy, or other treatment where required by applicable law.
19. Suspension and termination
We may restrict, suspend, or terminate access where reasonably necessary to address serious violations of these Terms, fraud, payment abuse, security threats, unlawful conduct, attacks on the Services, or risks to FrenchPal or other users.
Where reasonably appropriate, we may provide notice and an opportunity to resolve the issue before termination. Immediate action may be taken where necessary for fraud prevention, security, legal compliance, or the protection of users or systems.
20. Disclaimers
FrenchPal is provided as an AI-assisted language-learning service. We do not guarantee a particular learning outcome, fluency level, exam result, employment result, immigration result, school admission, or acceptance of a certificate by any third party.
To the extent permitted by law, the Services are provided on an “as available” basis, and we do not promise that every AI response, pronunciation assessment, correction, or learning suggestion will be error-free.
Nothing in these Terms excludes or limits warranties, guarantees, remedies, or other rights that cannot legally be excluded under applicable consumer law.
21. Limitation of liability
To the maximum extent permitted by applicable law, FrenchPal and Cloudvale LLC will not be liable for indirect, incidental, special, consequential, or similar losses arising from use of the Services where such limitations are legally permitted.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or other liability protected by mandatory law.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the relevant limitation applies only to the maximum extent permitted by law.
22. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
If you are a consumer, this choice of law does not deprive you of mandatory consumer protections available under the laws of your country, state, province, or other place of residence where those protections cannot lawfully be waived.
Before commencing a formal dispute where reasonably possible, you may contact [email protected] so that we can attempt to resolve the issue.
23. Changes to these Terms
We may update these Terms to reflect changes to the Services, business practices, legal requirements, or other operational needs.
If a change materially affects your rights or an ongoing paid subscription, we will provide notice where required by law. The “Effective” or “Last Updated” date displayed on this page will indicate when the current Terms apply.
